This partner Agreement ("Agreement") is made between You, the partner ("You") and
Samsonite ("We", “Our” or "Us"). Your agreement with Partnerize, as the technology
provider is available here: https://partnerize.com/legal/partner-terms-and-conditions
This is the agreement that will govern Your participation in an affiliate program
(“Campaign”) through Partnerize with [Brand]. Any partner that breaches any of the terms of
this agreement will face the following penalties imposed by [Brand] in its sole discretion
and depending on the severity and damage caused to the [Brand] brand:
● Immediate removal from the campaign, and potentially other campaigns within our
Partnerize network
● Rejection of commissions generated within Partnerize
● Freezing of all outstanding commission payments within Partnerize
By accepting the terms and conditions of this Campaign in Partnerize, You agree that You
have read and understood the Agreement, and therefore will be liable in the event of a
breach of any of the Agreement.
In consideration of the promises set forth below, each party agrees as follows:
1 Partner Participation and Promotional Methods
1.1 Even if You are accepted to the campaign, We reserve the right to re-evaluate Your
participation at any time. We may reject Your request or remove Your participation at any
time without notification if We determine that Your site is not suitable for our campaign and
brand, including if :
● Your website contains content which is unlawful or promotes illegal activities, including
infringes of copyright or attempts to help others infringe copyright/intellectual property
● Your website contains content which promotes discrimination, harassment, violence or
any other behaviors which are unacceptable to Us in our sole discretion
● Your website content includes misleading or false information regarding our brand and
the products/services offered ○ This includes promoting false or invalid voucher/coupon
codes on Your site
○ Only voucher codes found in the Partnerize platform or provided directly to You by
Us are applicable to be listed on your site and to be awarded commission
● Your website impersonates our brand, either directly or via misspellings or variations of
our brand name
● You are found to be generating Partnerize tracked events (“Conversions”) with false
information or sales
○ This may also include incentivising Your audience to complete actions on our
website in a way that has not been approved before by Us
● You are found to be actioning paid search, pay-per-click (PPC), search engine marketing
(SEM), TM+ or email marketing activity related to Our brand, without prior written consent ○ If
permission is required, a proposal should be sent by You directly to the Brand Contact
Email listed in Partnerize to request written approval from Us.
2 Commission, Linking and Creative Content
2.1. From time to time, We will arrange on the Partnerize platform to pay participating
partners a specified monetary amount (“Commission”) in return for certain advertising
services leading to a unique link (“Tracking Link”) that tracks the activity of partners and
their users for Brands. Commission will be awarded to the last participant in the user
journey (“Last Click”), and within the window listed in Partnerize (“Cookie Period”) unless
agreed otherwise with Us.
2.2. From time to time, We will arrange on the Partnerize platform creative materials to
promote Our brand (“Content”) to display on Your website. These are provided in the form
of image, HTML, text and/or product feeds, which will include a Tracking Link. You should
not use any Content on Your site which is not available within Partnerize or provided by Us
directly.
2.3. At any time We may, with or without notice (a) change, suspend or discontinue any
aspect of a Tracking Link or a Commission or (b) remove, alter, or modify any Content. You
agree to promptly implement any request from Us to remove, alter or modify any such
Content.
2.4. Subnetwork partners or partners referring traffic agree to share details of who is
promoting Our brand and campaign via Your platform. Partners who do not agree may be
removed from the campaign and have any earned Commissions canceled.
2.5. The final determination of whether a commission is payable will be made by Us. For the
avoidance of doubt, if the product or service is returned in part or in full, the Commission
shall be amended or canceled by Us to reflect this full or part return.
2.6. We reserve the right to change or reject any aspect of a conversion or commission.
2.7. We agree to review disputed sales (“Transaction Queries”), submitted through the
Partnerize platform. If there is not enough supporting information provided by the partner,
We reserve the right to change or reject these queries. By accepting this agreement, You
hereby agree to submit any Transaction Queries in a timely manner, and no later than 30
days from the transaction date. Any transactions submitted after this 30 day period are at
Our discretion to review.
2.8 The Campaign is active exclusively in the United Kingdom.
2.9 We will pay Commission only for Qualifying Transactions generated within the United
Kingdom.
3 Your Additional Responsibilities
3.1 You hereby agree to comply with the Samsonite Marketing Materials Terms of Use
(attached in Annex 1 to the Agreement)
3.2 You hereby agree to comply with all applicable laws.
3.3 You hereby agree that the links on your site comply with the requirements specified in
this Agreement.
3.4. You agree not to make any representations, warranties or other statements concerning
Us, Our site, any of Our products or services, or Our site policies, except as expressly
authorized by Us.
3.5. You are responsible for notifying Us and Partnerize of any malfunctioning of the
Tracking Links or Content, or other problems with Your participation in the Campaign. We
will respond promptly to all concerns upon receipt of Your notification.
If there are changes to the Agreement, We will contact approved partners on the
campaign via the partner contact email address listed in Partnerize. It is Your
responsibility to keep your partner/company email address updated in Partnerize.
Annex 1: Samsonite Marketing Material Terms of Use
We (Samsonite Europe N.V. Westerring 17, 9700 Oudenaarde, Belgium, and/or affiliated companies
(“Samsonite”)) are providing You (and any affiliated company(ies)) with various marketing materials
comprising materials, contents, texts, pictures, photographs, videos, audio-visual works, and other works
(collectively “Works”) in accordance with the following terms and conditions (“Terms”). By using the Works
You (and any associated company(ies)) hereby accept and agree to these Terms.
The marketing materials and Works are provided to You for the sole and exclusive purpose of marketing and
advertising the brands owned by Samsonite Group (defined below), and related products, and the sale of
products supplied by Samsonite and Samsonite Group (the “Purpose”).
You undertake to:
(1) Use the Works solely in connection with and for the Purpose, and shall not make any other use of
the Works;
(2) Use the Works solely within the territories (if there is any territorial limitation) in which the Works
are permitted to be used for the Purpose, of which You have been or shall have been notified by
Samsonite or Samsonite Group. For the purpose of this document, “Samsonite Group” shall mean
Samsonite, Samsonite IP Holdings S.à r.l. or Samsonite’s parents, subsidiaries and affiliate
companies, each individually or taken together;
(3) Use the Works only for the period (if there is any time limitation) for which the Works are permitted
to be used, of which You have been or shall have been notified by Samsonite, and timely and promptly
remove from all media, discontinue the use, return to Samsonite or destroy the Works (at the direction
of Samsonite) on or before the expiry of the permitted period and immediately as and when requested
by Samsonite or Samsonite Group at any time;
(4) Use the Works solely on the platforms or media (if there is any such restriction) on which the Works
are permitted to be used, of which You have been or shall have been notified by Samsonite or
Samsonite Group;
(5) Not to alter, edit, deface, truncate, extend, modify or in any way adapt the Works or any parts
thereof or make any derivative works thereof without Samsonite’s prior written permission (minor
editing to fit formats online screens and similar is permitted);
(6) Not to sub-license or in any way permit any third parties (including any of Your subsidiaries or
affiliate companies) to use the Works without Samsonite’s prior written permission;
(7) Not use the Works for any purposes other than the Purpose, and not use the Works in relation to
any third party products or services or on Your own account; and
(8) Strictly abide by any other instructions given by Samsonite and/or Samsonite Group for the usage
of the Works.
You further agree:
(1) That You do not have any further rights to use the trademarks, names and other intellectual
property of Samsonite Group. All rights not granted in these Terms or other agreements between
Samsonite Group and You are reserved by Samsonite Group;
(2) That all use of the Works shall inure to the benefit and goodwill of Samsonite Group;
(3) Not to use the Works except in an appropriate, good taste and high quality manner;
(4) Not to remove any trademark or copyright notices adhered to the Works; and
(5) To use the Works in accordance with all applicable laws and regulations.
These Terms are construed in accordance with the laws of The Netherlands and You submit yourselves to the
non-exclusive jurisdiction of the courts of Amsterdam.
